Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Meru Technologies LLC ("Meru Technologies", "we", "us"). They govern your use of this website, meru-technologies.com (the "Site"), and of the Meru Trading Workspace, our trading-improvement application available at app.meru-technologies.com and through our mobile and desktop apps (together, the "Service"). By using the Site or creating an account for the Service, you accept these Terms.

1. What the Service is, and is not

The Service is software for trade preparation, journaling and performance analysis. Meru Technologies is a software company, not a broker-dealer, investment adviser, exchange or financial institution. The Service does not execute trades, hold or transmit funds or securities, or provide financial, investment, legal or tax advice. Nothing in the Service, including statistics, analytics, insights, coaching prompts or AI-generated content, is a recommendation to buy or sell any security or other instrument. Trading involves substantial risk of loss and is not suitable for everyone; decisions you make remain entirely your own.

2. Your account

You must be at least 18 years old to use the Service. You agree to provide accurate registration information, keep your credentials confidential, and notify us promptly of any unauthorized use of your account. You are responsible for activity that occurs under your account. If you sign in with a third-party identity provider (such as Google), that provider's terms also apply to the sign-in itself.

3. Plans, billing and renewal

The Service offers a free plan (Base Camp) and paid subscription plans (Ascent and Summit) for individuals, and per-seat subscriptions for organizations, as described on our pricing page. Paid plans are billed in advance on a recurring monthly or annual basis and they renew automatically until cancelled. Where seats are purchased for an organization, the organization's administrator is responsible for the subscription and for managing seats.

When you upgrade a plan or add seats mid-cycle, you are charged a prorated amount for the remainder of the billing period; downgrades and seat reductions take effect at the next renewal. Prices may change; we will give you advance notice of any price change affecting your subscription, and it will apply no earlier than your next renewal. Applicable taxes (such as sales tax or VAT) may be added at checkout depending on your location. Payments are processed by our third-party payment partner; we do not store full card numbers.

4. Cancellation and refunds

You can cancel a subscription at any time in the app's settings; cancellation takes effect at the end of the current billing period, and you keep access until then. Refunds are handled as described in our Refund & Cancellation Policy, which is part of these Terms.

5. Your content

The trades, journals, notes, screenshots, playbooks, plans and other material you record in the Service ("Your Content") belong to you. You grant us the limited license needed to host, process, back up and display Your Content in order to operate the Service, and for no other purpose. We do not sell Your Content, use it for advertising, or pool it across customers. You are responsible for having the right to upload what you upload. You can export your trading data from the app, delete content at any time, and delete your entire account yourself in Settings > Profile & Security.

6. AI features

Some features (including the MeruIQ coach and insights) generate content algorithmically from Your Content. AI output is informational, may be inaccurate or incomplete, and is not investment advice. Treat it as a mirror for your own review process, not a signal.

7. Market and reference data

The Service may display quotes, news, calendars and other market data supplied by third parties or simulated for planning purposes. Such data may be delayed, incomplete or inaccurate, is provided for informational use inside the Service only, and must not be relied on for trading decisions or redistributed.

8. Acceptable use

You agree not to: misuse or interfere with the Service; attempt to access other tenants' data or probe our security; reverse engineer, scrape or resell the Service; use the Service to violate law or the rights of others; or upload malicious code. Organization features may only be used to oversee traders who have knowingly joined your organization. We may suspend accounts that put the Service or other customers at risk.

9. Intellectual property

The Service and the Site, including the MeruIQ and Meru Trading Workspace names, the Meru Technologies name, the mountain marks, software, design and content (excluding Your Content), are the property of Meru Technologies LLC, protected by copyright and trademark law. We grant you a personal, non-exclusive, non-transferable right to use the Service under these Terms; no other rights are granted.

10. Availability and changes

We work to keep the Service available and your data safe (including routine backups), but the Service is provided "as is" and "as available" without warranties of any kind, express or implied. We may add, change or retire features as the product evolves; if we discontinue the paid Service, we will provide reasonable notice and a refund of any prepaid, unused amounts.

11. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, special or consequential damages, or for lost profits, lost data or trading losses, arising from your use of the Site or Service; and our total liability for any claim is limited to the amounts you paid us for the Service in the twelve months before the claim arose (or US $50 if you have paid nothing). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; nothing in these Terms excludes liability that cannot lawfully be excluded.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you materially breach these Terms and (where practical) fail to cure the breach after notice. Sections that by their nature should survive, including Sections 1, 5, 9, 11 and 13, survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in Florida, and both parties consent to their jurisdiction, except that consumers in jurisdictions whose law grants them the right to sue where they live keep that right.

14. Changes to these Terms

We may update these Terms from time to time. For material changes we will notify you (for example by email or an in-app notice) before the changes take effect; continuing to use the Service after that date means you accept the updated Terms. The "Last updated" date above reflects the current version.
