Affiliate Agreement

Version 2026-08 · Effective for applications submitted on or after August 12, 2026.

This Affiliate Agreement (the “Agreement”) is between Meru Technologies LLC (“Meru Technologies”, “we”, “us”) and the company or individual submitting an affiliate application (the “Affiliate”, “you”). By checking the acceptance box on the application form, you agree to these terms. Participation begins only if we approve your application; approval is at our discretion.

1. The program

Approved Affiliates receive a personal referral code and link. When a person signs up for the Meru Trading Workspace through your link or with your code, that account is attributed to you, permanently and at most once per account, under the attribution rules shown in the partner portal. Attribution alone changes nothing for the referred user: their pricing, plan, and experience are the same as any other user's.

2. Commission

Commission accrues only on subscription revenue that Meru Technologies actually collects from a referred customer, at the rate and for the number of months shown in the partner portal at the time of attribution. Signups, trials, and free accounts earn nothing by themselves. Refunds and chargebacks reverse the matching commission. Accrued commission becomes payable after the hold period shown in the portal, and payouts run on the schedule and above the minimum balance shown there. We may require tax documentation (for example IRS Form W-9 or W-8BEN) before the first payout.

3. What you may not do

As an Affiliate you agree not to:

• send spam or any unsolicited bulk communication containing your link or code;
• bid on “MeruIQ”, “Meru Trading Workspace”, “Meru Technologies”, or confusingly similar terms in paid search advertising;
• present yourself as Meru Technologies, use our marks outside the brand guidelines we provide, or register domains or social handles that impersonate us;
• generate signups that are fabricated, incentivized by payment, or made by you or people acting on your behalf (self-referral);
• misrepresent the Workspace, including any suggestion that it executes trades, guarantees profits, or provides investment advice;
• promote through content that is unlawful, deceptive, or harmful.

4. Suspension and termination

We may suspend the program relationship (new attributions stop, pending commissions freeze) while we investigate a suspected violation, and may terminate it for a violation of this Agreement, in which case unpaid commissions related to the violation are forfeited. You may leave the program at any time by written notice; properly accrued commissions are settled at the next payout cycle. Either party may end the relationship for convenience with 30 days' notice.

5. General

You are an independent contractor, not an employee, agent, or partner of Meru Technologies. We may update the program's commercial terms (rate, duration, hold, thresholds, eligible countries) prospectively. Changes never reduce commission already accrued. We may update this Agreement by posting a new version; continued participation after notice constitutes acceptance. This Agreement is governed by the laws of the State of Florida, USA (matching our Terms of Service), and disputes belong to the state or federal courts located in Florida. If any provision is unenforceable, the remainder stays in effect.
